Sponsor hereby agrees to indemnify and hold harmless Show Management, Harrah's Resort, the Atlantic City Convention Center and the participating trade associations and their affiliates, directors, officers, employees, agents and contractors from and against any and all claims, losses, liabilities, fines, damages, costs, fees, or expenses (including, without limitation, reasonable attorney, expert and consultant fees and expenses) as a result of or caused by or arising out of any and all actions or inactions of the sponsor, its employees, servants or agents.
